CODA Pilates LLC

Terms of Service

The agreement between you and CODA Pilates LLC for using codapilates.com, our mobile app, and the studio we are preparing to open in East Hollywood.

Last updated: November 3, 2026

Important: Section 9 contains a binding individual arbitration agreement and a class action and jury waiver that affect how disputes are resolved, with a right to opt out within 30 days. Before participating in any class, you must also sign CODA’s separate Release of Liability, Assumption of Risk, and Indemnity Agreement.

01

Acceptance of terms

These Terms of Service (“Terms”) are an agreement between you and CODA Pilates LLC (“CODA,” “we,” “us,” “our”). By using our website at codapilates.com, our mobile app, or our studio services, or by purchasing a membership, class pack, or class, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree to these Terms, please do not use our website, app, or services.

Before you take any class or use the studio’s exercise rooms, you must sign our Release of Liability, Assumption of Risk, and Indemnity Agreement (the “Release”). The Release is a separate agreement. Nothing in these Terms limits the Release, and if these Terms conflict with the Release on assumption of risk, release, waiver, or indemnity, the Release controls.

We may decline or discontinue service to any person to the extent permitted by law. These Terms apply in addition to any booking, membership, or purchase terms presented to you at the time of booking or purchase.

02

Services

CODA Pilates is a Pilates studio in East Hollywood, Los Angeles, offering Reformer Pilates classes and infrared heated mat classes (“Glow”). Glow classes take place in a room heated by infrared panels to approximately 95 to 98 degrees Fahrenheit. Our studio has 8 reformers and 8 mats, and classes are kept small so instructors can give personal attention.

Our services are available only to adults. You must be at least 18 years old to create an account, make a purchase, or participate in any class.

Presales launch on December 14, 2026. The studio opening date has not yet been confirmed; we are aiming for the second week of January 2027, but that target is not guaranteed. CODA will announce the actual opening date. Class schedules, formats, instructors, and class sizes may change, and a specific instructor, class time, or piece of equipment is not guaranteed.

03

Accounts and bookings

Class bookings, accounts, memberships, and payments are handled through Mariana Tek and its mobile app. Marketing communications are handled through Xplor Growth. To book classes or make purchases, you may need to create an account with Mariana Tek and agree to its terms and privacy practices, which are separate from ours.

You are responsible for providing accurate account information, keeping it up to date, and keeping your login credentials secure. You are responsible for bookings and purchases made through your account. Please contact us promptly at hello@codapilates.com if you believe your account has been used without your permission.

04

Memberships, class packs, and payments

Class packs. Class packs are valid for 1 year (12 months) from the date of purchase. Classes remaining on a pack after its validity period expires are no longer available to use.

Founding 50 membership. The Founding 50 membership is $222 per month for unlimited Reformer and Glow classes, available to the first 50 members who enroll before the studio’s official opening. The $222 monthly rate is protected for as long as the membership remains continuously active. Founding 50 membership includes a complimentary pair of CODA grip socks at signup, two complimentary membership freezes per membership year, each for up to 30 days, requested at least 30 days in advance, and two guest passes to be used within the first 90 days of membership. An approved freeze pauses billing during the freeze period and preserves the $222 founding rate and the membership’s continuously active status, so an approved freeze does not break continuous activity for rate protection.

Guests. Every guest, including a guest using a Founding 50 guest pass, must be at least 18 years old and must sign the Release before participating.

Pre-opening enrollment (presales). If you enroll in a membership before the studio’s opening day, including enrollment in the Founding 50 during presales, you will sign the membership agreement and the Release and provide a credit card to keep on file. No charges will occur before the studio’s opening day. CODA will not charge a deposit, an initiation fee, a first month’s membership charge, or any other amount before opening, and no pre-opening authorization hold will be presented as a charge. Providing a card on file is not a charge; the card is kept on file only so billing can begin on the opening day.

Billing and benefits begin on opening day. Monthly billing begins on the studio’s actual opening day. Your first billing cycle, your membership benefits, and, for Founding 50 members, the 90-day period for using your two guest passes all begin on that opening day, not on the date you enroll during presales. CODA will announce the actual opening date; CODA is aiming for the second week of January 2027, but that target is not guaranteed and is not the opening date for billing or benefits purposes.

Cancellation before opening. If you enroll before opening, you may cancel your enrollment at any time before the opening day. Because no charges occur before opening, there will have been no charge in connection with a pre-opening cancellation.

Automatic renewal and cancellation after opening. MONTHLY MEMBERSHIPS RENEW AUTOMATICALLY EACH MONTH AT THE THEN-CURRENT MEMBERSHIP PRICE, AND YOUR CARD ON FILE WILL BE CHARGED EACH MONTH UNTIL YOU CANCEL. You may cancel at any time online through your account in the Mariana Tek app or website, or by emailing hello@codapilates.com. Cancellation takes effect at the end of your current billing cycle, and you will not be charged again after cancellation. Your membership agreement describes additional cancellation rights you have under California law, including the right to cancel within the period stated in that agreement and the right to cancel upon death, disability, or relocation as provided by statute. Nothing in these Terms limits those rights.

Price changes. Prices for our introductory offer, single classes, class packs, and other memberships are as published by CODA at the time of purchase. Prices may change for future purchases, and any change will not affect the price of a purchase already completed. Before any price change to an existing recurring membership takes effect, we will give you notice as required by law, and you may cancel before the change applies to you. The Founding 50 rate does not change while the membership remains continuously active.

Payments. Payments are processed through Mariana Tek and its payment processors. By making a purchase, you agree to the payment terms presented at checkout, including recurring billing for memberships where applicable. For pre-opening enrollments, recurring billing does not begin until the opening day, as described above.

Booking, cancellation, and late policies. Our booking, cancellation, rescheduling, late-arrival, and no-show policies are as presented at the time of booking in Mariana Tek and in our studio policies. Please review those policies when you book, as they form part of these Terms. For safety, late arrivals may be refused entry to class.

05

Health and participation

Our classes are fitness services. They are not medical treatment, physical therapy, diagnosis, or a substitute for professional medical advice, and our instructors are not licensed health care providers. You are responsible for consulting a physician or other qualified health provider before beginning or continuing classes with us, particularly if you are pregnant, have recently given birth, have an injury or medical condition, take medication that affects your heat tolerance or balance, or have concerns about whether exercise is appropriate for you.

By participating, you confirm that you are physically able to take part, and you participate at your own risk and subject to the Release. Follow your instructor’s guidance at all times, use equipment only as instructed, and stop exercising if you feel pain, dizziness, nausea, or discomfort. Please tell your instructor before class about any injury, limitation, or condition that could affect your participation, so the instructor can offer modifications where appropriate. An instructor may ask you not to participate, or to modify an exercise, where they consider it necessary for your safety or the safety of others.

Studio safety rules. Grip socks are required at all times on the reformer and mat. Pregnant clients may not take Glow classes; pregnant clients may take Reformer classes with their physician’s clearance. Glow participants should hydrate before, during, and after class and should not participate after consuming alcohol or any substance that impairs judgment, balance, or heat tolerance.

06

Studio conduct and security cameras

Please treat instructors, staff, and other clients with respect, arrive ready for class at your booked time, and follow staff instructions and posted studio rules. We may refuse entry, remove a person from a class, or suspend or end a membership for conduct that is unsafe, disruptive, abusive, or in breach of these Terms, subject to applicable law.

Our studio uses video-only security monitoring for safety, security, loss prevention, and incident investigation, as described in our Privacy Policy. Cameras cover areas such as the entrance and reception, the reformer room, the heated-mat room, and hallways. Audio recording is disabled, we do not use facial recognition or biometric identification, and cameras are not placed in bathrooms, changing areas, or other areas where people reasonably expect privacy. Signs at the studio provide notice of video monitoring. By using the studio, you acknowledge this monitoring.

Please take care of your belongings. Lockers or storage areas, where provided, are for convenience during your visit, and CODA is not responsible for lost, stolen, or damaged personal property to the extent permitted by law.

07

Website and intellectual property

Our website, app content, name, logo, class formats, photographs, text, and other materials are owned by CODA Pilates LLC or our licensors and are protected by intellectual property laws. You may view and use our website and app for your personal, non-commercial use in connection with our services. You may not copy, reproduce, distribute, modify, or use our materials, name, or logo for any other purpose without our written permission.

We try to keep the information on our website and app accurate and current, including schedules and pricing, but errors may occur. The version of pricing and policies presented at the time of booking or purchase in Mariana Tek controls over any conflicting summary on the website.

08

Text Messaging (SMS) Program Terms

8.1 Program Description. By opting in, you agree to receive recurring automated text messages from CODA Pilates (“we,” “us,” “our”) at the mobile number you provided. Messages may include class and appointment reminders, booking and waitlist updates, account alerts, membership notices, and customer support follow-ups. We will send promotional messages, such as offers and announcements about opening, preview classes, and founding memberships, only if you have separately given express consent to receive them. Providing a phone number alone does not constitute consent to promotional texts, and consent is not a condition of any purchase.

8.2 You may receive up to four (4) messages per week. Message frequency may vary depending on your activity and interactions with us.

8.3 Message and Data Rates. Message and data rates may apply. Charges are billed by and payable to your mobile service provider. Please contact your wireless carrier for details about your messaging plan.

8.4 How to Opt Out and Get Help. You can unsubscribe from the SMS service at any time by replying STOP to any message we send you. After you send STOP, you will receive a one-time confirmation message, and no further messages will be sent. If you want to rejoin, you can sign up again using the original opt-in method or reply START. For help or more information at any time, reply HELP to any of our messages. You can also contact our support team directly at hello@codapilates.com.

8.5 Carrier Liability Disclaimer. Carriers are not liable for any delayed or undelivered messages.

8.6 Privacy. Our Privacy Policy, available at https://codapilates.com/privacy-policy, describes how we handle mobile information. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

09

Limitation of liability and dispute resolution

9.1 Limitation of Liability. To the fullest extent permitted by law, CODA Pilates LLC and its owners, instructors, employees, and contractors will not be liable for any indirect, incidental, special, or consequential damages arising from your use of our website, app, or services, or for any loss arising from events beyond our reasonable control. Nothing in these Terms limits liability that cannot be limited under applicable law.

9.2 Release. Your participation in classes and use of the studio are also governed by the Release, which controls over these Terms as to assumption of risk, release, waiver, and indemnity.

9.3 Governing Law. These Terms are governed by the laws of the State of California, except that Section 9.4 is governed by the Federal Arbitration Act, 9 U.S.C. section 1 et seq.

9.4 Binding Individual Arbitration; Class Action and Jury Waiver. Please read this section carefully.

(a) Agreement to Arbitrate. Except as provided in subsection (e), any dispute, claim, or controversy between you (or anyone claiming through you) and CODA or its owners, members, managers, instructors, employees, contractors, agents, or landlord arising out of or relating to these Terms, the Release, our website, app, or services, the studio, or any membership or purchase, including any dispute about the existence, scope, validity, or enforceability of these Terms, will be resolved by final and binding arbitration. A court, not the arbitrator, will decide any dispute about the enforceability of subsection (d).

(b) Informal Resolution First. Before starting arbitration, the party with a claim will send the other a written notice describing the claim and the relief sought (to CODA at hello@codapilates.com and 5245 Santa Monica Blvd, Unit 1B, Los Angeles, CA 90029; to you at the email address on your account). The parties will try in good faith to resolve the claim for 30 days after the notice is received. Statutes of limitation are tolled during that period.

(c) Rules, Location, and Fees. The arbitration will be administered by JAMS under its Streamlined Arbitration Rules and Procedures and its Consumer Arbitration Minimum Standards, before one neutral arbitrator, in Los Angeles County, California, or by videoconference if the parties agree. CODA will pay all administrative fees and arbitrator compensation, except that you will pay a filing fee no greater than the fee to file a civil action in the Los Angeles County Superior Court. The arbitrator will apply California substantive law and applicable statutes of limitation, may award any individual relief that a court could award, and will issue a reasoned written decision. Each party bears its own attorneys’ fees and costs unless the arbitrator awards them under applicable law.

(d) Individual Claims Only. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person or preside over any class or representative proceeding. Nothing in this Section waives any right you have to seek public injunctive relief; any such claim will be severed and stayed until all other claims are arbitrated, and then decided by a court. If this subsection (d) is found unenforceable as to any claim, that claim will proceed in court, not in arbitration.

(e) Exceptions. Either party may bring an individual claim in small claims court in Los Angeles County if it qualifies, and either party may ask a court for temporary injunctive relief to preserve the status quo pending arbitration.

(f) Right to Opt Out. You may opt out of this Section 9.4 by emailing hello@codapilates.com, within 30 days after you first accept these Terms or sign the Release, whichever is earlier, with your name and a clear statement that you opt out of arbitration. An opt-out under these Terms or under the Release applies to both. If you opt out, or if this Section 9.4 is found unenforceable, disputes will be resolved exclusively in the state or federal courts located in Los Angeles County, California.

(g) Jury Waiver. BY AGREEING TO ARBITRATION, YOU AND CODA ARE EACH GIVING UP THE RIGHT TO A TRIAL BY JURY OR BY A JUDGE.

(h) Consistency with the Release. This Section 9.4 and Section 24 of the Release are intended to be identical. If they conflict, Section 24 of the Release controls.

10

Changes to terms

We may update these Terms from time to time. When we do, we will post the revised Terms with an updated date and, where required, provide additional notice. Your continued use of our website, app, or services after the revised Terms take effect means you accept them. If you do not agree to a change, please stop using our services and contact us about closing your account. Any change to Section 9.4 will not apply to a dispute of which either party had notice before the change took effect. Changes to the price of an existing recurring membership are governed by Section 4.
